2. Scope of These Terms
These Terms apply to use of our website, enquiries about our services and services provided by Braqett.
The specific scope of work, deliverables, fees, payment schedule, timelines, revisions and other project requirements may be set out in a separate written proposal, quotation or agreement. If that document conflicts with these Terms, the terms agreed for that project take precedence.
No project is considered active until Braqett has accepted it in writing.
3. Eligibility
By using our website or engaging our services, you confirm that you are at least 18 years old, have the authority to enter into any applicable agreement and will use our services for lawful purposes.
If you act on behalf of a business, you confirm that you have the authority to agree to these Terms on its behalf.
4. Use of The Website
You agree not to:
– Use the website for unlawful or harmful purposes.
– Attempt to gain unauthorised access to our systems, accounts or data.
– Interfere with the security or operation of the website.
– Copy, republish, distribute or commercially exploit website content without permission, except where permitted by law.
– Use automated tools to scrape or extract website content in a way that disrupts the website or infringes our rights.
We may restrict access to the website where reasonably necessary to address misuse or protect the website, its users or our rights.
5. Services
All services are subject to availability and acceptance by Braqett. We reserve the right to modify, update or discontinue the services we offer, or to decline a proposed engagement, at our discretion.
For an active client project, the agreed scope and any changes to it are governed by the relevant written proposal, quotation or agreement.
6. Client Responsibilities
Clients are responsible for:
– Providing accurate, complete and timely information, materials and instructions.
– Ensuring they have the rights and permissions needed for any materials they provide to us.
– Providing access to relevant accounts, platforms and resources where required for the agreed work.
– Reviewing and approving deliverables within the agreed timeframes.
– Ensuring their products, services, claims and instructions comply with applicable laws and platform policies.
– Keeping copies of important files and account information supplied to or received from Braqett.
– Delays in receiving information, access, feedback or approvals may affect the delivery schedule. – Braqett is not responsible for delays caused by incomplete or inaccurate information supplied by the client.
7. Scope Changes and Additional Work
Work outside the agreed scope, including additional deliverables or revision rounds, may require a revised fee and timeline.
We will communicate any additional charge and obtain the client’s written approval before carrying out chargeable work outside the agreed scope. An approval by email or another agreed written channel may be used for this purpose.
8. Third-party Platforms and Costs
Our services may involve third-party platforms, software, suppliers or service providers. Their own terms, policies and availability apply.
Advertising spend, software subscriptions, licences, production costs and other third-party expenses are included in our fees only if expressly stated in the relevant proposal, quotation or agreement.
Braqett cannot control changes to third-party platforms, including their features, policies, algorithms, account restrictions or advertising approval decisions.
9. Intellectual Property and Deliverables
The content of the Braqett website, including its text, visuals, branding and design, belongs to Braqett or the relevant rights holders. You may not use it commercially without permission.
Unless otherwise agreed in writing:
– Braqett retains ownership of its pre-existing materials, concepts, methods, processes, templates, frameworks and unused creative work.
– Upon full payment, the client receives a limited, non-exclusive right to use the final approved deliverables for their intended business purposes.
– Drafts, unused concepts, raw files, editable project files and underlying working materials are not included unless expressly agreed.
– Materials supplied by the client remain the property of the client or their respective rights holders.
– Any third-party materials included in a deliverable remain subject to their applicable licences or usage terms.
10. Portfolio Use
Unless otherwise agreed in writing, Braqett may display final work that has already been made public by the client in its portfolio, website, social media or case studies.
We will not disclose confidential information or publish work that has not yet been released by the client without permission. A client may request different portfolio arrangements in writing.
11. Confidentiality
Each party will use reasonable care to protect the other party’s non-public business information received in connection with a project and will use it only for the purposes of the collaboration.
This does not apply to information that is already public, was lawfully known to the receiving party, is independently developed or must be disclosed by law. Confidentiality obligations continue after a project ends.
12. Payments and Refunds
Pricing, payment dates, billing schedules, expenses and any applicable taxes are defined in the relevant proposal, quotation or agreement.
Unless otherwise agreed in writing, payments are non-refundable once work has commenced, to the extent permitted by applicable law.
Late payment may result in the suspension of work or services until outstanding amounts are paid. Braqett is not responsible for delays caused by unpaid invoices.
13. Cancellations
A client wishing to cancel a project or ongoing service should notify Braqett in writing. Any notice period, cancellation fee, minimum commitment or payment for work already completed will be determined by the relevant written proposal, quotation or agreement.
Where no specific cancellation arrangement has been agreed, the client remains responsible for fees for work performed and approved third-party costs incurred up to the effective date of cancellation, subject to applicable law.
14. Marketing Results
Braqett does not guarantee specific results, including a particular number of leads, sales, followers, impressions, advertising approvals or a particular level of revenue.
Marketing results depend on factors that may be outside our control, including market conditions, competition, audience behaviour, advertising budgets, platform changes and the client’s input. Any forecasts, examples or estimates we provide are not guarantees of future performance.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Braqett is not liable for indirect, incidental or consequential losses arising from the use of our website or services.
To the fullest extent permitted by applicable law, Braqett’s total liability in connection with services provided to a client will not exceed the amount paid by that client for the relevant services in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
16. Suspension and Termination
Braqett may suspend or terminate services if:
Payments are overdue.
These Terms or an applicable written agreement are breached.
The client engages in abusive or unlawful conduct.
The client misuses our work, accounts or systems.
The client’s conduct or failure to meet agreed obligations makes continued collaboration unworkable.
Where an issue can reasonably be resolved, we may give the client an opportunity to address it before terminating services. We may suspend services immediately where necessary to protect our business, accounts, team or legal obligations.
Any project-specific notice period, cancellation arrangements and amounts payable on termination are governed by the relevant written agreement and applicable law. Termination does not affect payment obligations that have already arisen.
17. Events Outside Our Control
Braqett is not responsible for delays or failure to perform an obligation where this is caused by an event beyond our reasonable control, including widespread service outages, platform failures or other events that prevent the work from proceeding as planned.
We will inform the client when reasonably possible and discuss any necessary changes to the project timeline.
18. Privacy
Our Privacy Policy explains how we collect, use and handle personal data in connection with our website and services. Information about cookies and similar technologies used on the website is provided through our cookie information and settings, where applicable.
19. Electronic Signatures and Communications
Proposals, agreements, approvals and other project communications may be exchanged electronically. The parties may sign agreements electronically, subject to applicable law.
An email or other written electronic confirmation may be used to record an agreement, instruction or approval where it clearly identifies what has been accepted and is sent by a person authorised to act for the relevant party.
Project notices may be sent to the email addresses the parties have provided for their collaboration, unless their written agreement specifies another method.
20. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Cyprus.
If a dispute arises, the parties should first try to resolve it through direct communication. Any unresolved dispute will be subject to the courts of the Republic of Cyprus, except where applicable law requires otherwise.
21. Changes to These Terms
We may update these Terms from time to time. The updated version will be published on this page with a new “Last updated” date.
Changes to these website Terms will not retrospectively alter a separate written agreement for an active client project unless the parties agree or that agreement expressly provides otherwise.
